OPENING A NEW BUSINESS

Here are a few of the steps involved in the formation of a new business in the United States;

LICENSES & PERMITS

In order to open and run a new business in the State of Florida, it is mandatory to have all necessary licenses and permits to operate in place. We will assist you to determine which licenses and permits your new business requires, and process applications to obtain them.

STATE REGISTRATION

In addition to registering with the State of Florida (Department of State) a new business may also need to register with the Department of Business and Professional Regulation. Furthermore, new businesses will most likely be required to register with local authorities such as municipalities and counties. Our team will assist in registering your business with all of the necessary authorities, and help you understand the taxes you are required to collect and pay to the State of Florida.

EIN NUMBER APPLICATION

An Employer Identification Number (EIN), also known as a Federal Tax Identification Number, is used to identify a business entity. Being such number is how taxes are reported, all businesses must apply for such.

NAME AVAILABILITY RESEARCH

We will carefully research to learn if your chosen business name is available for use in the State of Florida to avoid the rejection of the application. Once research is concluded, we will then assist in the registration of your business with the required authorities.

SUBCONTRACTED TAXATION

All subcontractors must file and pay taxes including state, local and federal income and self-employment taxes on their own. The general contractor must file IRS Form 1099-MISC if the subcontractor earns over $600.
Maintaining separation between subcontractor and employee tasks helps prevent any misunderstandings or claims of employee misclassification by the IRS. Subcontractors should only work on projects and tasks assigned in the subcontractor agreement, should work remotely or at a temporary work station and should supply computer equipment and other electronics needed to perform tasks unless otherwise stated in the agreement.

TAX PREPARATION FOR BUSINESSES

1120 – U.S. Corporate Income Tax Return

Filing of form 1120 can be extremely complexed. We assist in accurately filing Form 1120, required by law for domestic corporations to report income, gains, losses, deductions, credits, and to figure income tax liability.

1120-S – U.S Income Tax Return for a Small Business Corporation

We assist in accurately filing Form 1120, required by law for domestic corporations to report income, gains, losses, deductions, credits of a domestic corporation or other entity for any tax year covered by an election to be an S Corporation. Section 199A applicable.

1065 – U.S Return of Partnership Income

We will assist in accurately filing of Form 1065, an information return used to report the profits, losses and deductions of business partnerships. When foreigners are partners in such entity, we will assure that proper schedules are added to avoid questioning of the IRS.

990

Assistance in the accurate filing of Form 990 (Return of Organization Exempt from Income Tax), required by tax-exempt organizations, nonexempt charitable trusts, and section 527 political organizations to provide the IRS with the information required by Section 6033.
